Common questions
Questions we are asked most
What do I need to start a company in Singapore?
A company name, at least one shareholder, at least one director ordinarily resident in Singapore, a registered Singapore address, and at least S$1 in initial share capital. We check the name, prepare the constitution and incorporation documents, and lodge the incorporation with ACRA.
Does every Singapore company need a company secretary?
Yes. Every company must appoint a company secretary within six months of incorporation, and the position cannot be left vacant for more than six months. The secretary must be ordinarily resident in Singapore.
Can a foreigner own a Singapore company?
Yes. A Singapore company can be 100% foreign-owned, and you do not need to be in Singapore to own shares. The director requirement is separate from ownership.
Do I need a local director?
At least one director must be ordinarily resident in Singapore. Singapore Citizens and Permanent Residents who ordinarily reside here can satisfy this requirement; eligibility for work pass holders depends on the pass and applicable MOM requirements. If your team does not have an eligible resident director, we can provide nominee director services or advise on the appropriate setup.
Does my company need accounting records if it has little activity?
Yes. Every company must keep proper accounting records. A qualifying dormant relevant company may be exempt from preparing financial statements, and certain private companies may be exempt from holding an AGM. Dormant companies may also apply to IRAS for a waiver from filing their corporate income tax return. We check the company’s actual status and tell you what still needs to be prepared and filed.
Can Leftright take over from my existing company secretary?
Yes. You can change your company secretary at any point in the year. We prepare the resignation and appointment paperwork, request the corporate records from your current provider, and file the change with ACRA. For a standard company secretary takeover, we do not charge a separate transfer fee.
What ongoing filings does a Singapore company need?
The recurring requirements depend on the company’s activity and available exemptions. Common filings include the ACRA annual return and corporate income tax return. ECI is filed within three months after the financial year end unless the company meets IRAS’s ECI filing waiver criteria. Financial statements, AGM requirements, XBRL and GST returns apply where relevant. We track the filings covered by our engagement against your financial year end.
